These Terms and Conditions (“Terms”) apply to your use of the website www.infspl.com (“Website”) and to the services offered by Intellectual Investments & Financial Services Pvt. Ltd. (“INFSPL”, “the Company”, “we”, “us” or “our”).

By using the Website or engaging our services, you agree to these Terms. If you do not agree, please do not use the Website or our services.

1. About Us and Our Services

INFSPL is an Indian financial advisory firm that provides business advisory services to startups, SMEs, MSMEs and large enterprises. These include Virtual CFO services, fundraising, valuation, projected financials, tax and compliance, loans, M&A and IPO advisory, and related services described on the Website.

The exact scope, deliverables, timelines and fees for a service are shared with you in writing (by email, message, proposal or invoice) before we begin. Some services may be delivered by INFSPL together with its associate professionals and partners, such as Chartered Accountants, Company Secretaries, lawyers, banks, NBFCs and investors.

2. Eligibility

You must be at least 18 years old and legally able to enter into a contract under the Indian Contract Act, 1872. If you use our services on behalf of a company, firm or other entity, you confirm that you are authorised to do so.

3. Your Responsibilities

To help us serve you properly, you agree to:

  • Give us accurate, complete and up-to-date information and documents.
  • Share requirements and documents on time, as delays may affect timelines.
  • Make sure you have the right to share the information and documents you give us.
  • Use our Website and services only for lawful purposes.

We rely on the information you provide. We are not responsible for outcomes affected by incorrect, incomplete or delayed information.

4. Fees and Payment

  • Fees depend on the scope, complexity and duration of the engagement and are confirmed in writing before the service starts.
  • Fees are exclusive of GST and other applicable taxes unless stated otherwise. Taxes are charged as per law.
  • Government fees, stamp duty, filing charges and third-party charges are payable in addition, unless stated otherwise.
  • Payment must be made as per the schedule and mode communicated to you. We may pause or delay work until due payments are received.

5. Refunds and Payment Disputes

  • Refund requests must be sent in writing to contact@infspl.com with the payment details and the reason for the request.
  • Once work on a service has started, fees for the work already done are generally not refundable. Government and third-party fees already paid are not refundable.
  • Any dispute regarding the payment of fees or a refund will be reviewed by the Company after considering the facts, and the decision will be at the discretion of the Company, subject to applicable law.
  • If a refund is approved, it will be made to the original mode of payment or another agreed mode within a reasonable time.

6. No Guarantee of Results

Our services are advisory and support services. We do not guarantee any particular outcome, such as fundraising, loan sanction, tax exemption, registration or approval, acceptance of a valuation, IPO listing or closing of a transaction. Final decisions rest with investors, banks, NBFCs, regulators, government authorities and other third parties.

7. Confidentiality and Your Information

We treat the information you share as confidential and collect it only to provide the service you have requested. We may share it with our partners and associate professionals as needed to fulfil that service, or when required by law. Please read our Privacy Policy for details.

8. Third-Party Partners

We may connect you with banks, NBFCs, investors, professionals and other partners to fulfil your requirement. Their terms, fees, decisions and conduct are their own. Any agreement between you and a third party is directly between you and that party, and INFSPL is not responsible for their decisions or actions unless we have agreed otherwise in writing.

9. Intellectual Property

All content on the Website, including text, logos, design and graphics, belongs to INFSPL or its licensors and is protected under Indian intellectual property laws. You may not copy, reproduce or distribute it without our written permission.

Reports, documents and other deliverables prepared for you may be used by you for the purpose for which they were prepared, once full payment has been made. INFSPL keeps all rights in its own templates, methods and know-how.

10. Use of the Website

You agree not to misuse the Website. This includes using it for unlawful purposes, submitting false information, trying to hack or disrupt it, or copying its content using automated tools.

11. Limitation of Liability

To the extent permitted by law, INFSPL is not liable for any indirect, incidental or consequential loss, including loss of profit, business or opportunity, or for delays and decisions of third parties.

12. Suspension and Termination

We may suspend or end a service if you breach these Terms, give false information, fail to make payments or use the service unlawfully. You may stop a service by telling us in writing. Fees for work already done remain payable, subject to Section 5.

13. Communication

By sharing your contact details, you agree that we may contact you by phone, WhatsApp, SMS or email about your enquiry and the services you have requested.

14. Changes to These Terms

We may update these Terms from time to time. The updated Terms will be posted on this page with a new “Last updated” date. By continuing to use the Website or our services, you accept the updated Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to Section 5, the courts at Pune, Maharashtra will have exclusive jurisdiction over any dispute. We encourage you to contact us first so that we can try to resolve any concern amicably.
